By registering to take advantage of any of the Products that we offer, you agree to our Terms & Conditions. 1. The Products are made available to you by Mobile Entertainment Corporation Limited and are subject to your acceptance of the following terms and conditions. 2. By registering to access one of those Products, you will be deemed to have accepted these terms and conditions. 3. For the purposes of these terms and conditions, any reference to "we", "us" or "our" is to Mobile Entertainment Corporation Limited. We are the promoter of these Products. "You" or "your" refers to you, the user of the Product. 4. The Products are premium rate reverse charge or premium rate direct charge services. The costs of accessing these products will appear on your mobile telephone bill - if you have any questions on the billing, please contact your network operator. 5. Please note that sending a request to avail yourself of one of our products by texting the appropriate short message to the SMS number specified or by calling a specified premium rate number will incur a cost as charged by your network operator. Please check your contract or contact your network operator to clarify what this cost will be. 6. When accessing the Product by means of messaging, you will be charged in respect of all messages sent and received by you during the course of that access. You may not be able to use any messages included as part of your standard airtime costs towards messages sent or received as part of accessing these Products depending on the terms and conditions of your airtime agreement. 7. Each Product consists of a number of interactive communications in addition to certain set up and administrative messages. The detail of these is given in the Instructions, along with the premium rate charge costs that you will be charged for participating. These charges are subject to revision. The revisions will be published as soon as reasonably practicable on our website, www.mobile-ent.com. 8. Important: Errors in typing or messages sent to the relevant short code incorrectly may result in an inaccurate, repeated or a "None found or not understood" message being received by you. If the error is yours, you will still be charged for the SMS and the SMS text response from the Mobile Entertainment Corporation Limited service, so take extra care. 9. All decisions by the Product providers relating to the Product including the awarding of prizes, if relevant, are final and no correspondence will be entered into. 10. You must obtain the permission of the person who pays for the mobile service (including telephone charges) before accessing the Product. This includes where your employer pays for the mobile service. 11. It is your responsibility to make sure that you do not let your mobile phone be used by someone else to access the Products. 12. Products will be deemed to have been accessed by the authorised account holder of the mobile phone number from which the entry is made. 13. You agree to the terms and conditions in order to access the Products. 14. If you play one of our Games, or enter one of our competitions, and win a prize and accept that prize, you also agree to us using your name, likeness and biographical details without additional compensation in order to promote the Games and Products if requested. 15. You will only be eligible to play and to win prizes in certain Games, or to avail yourself of certain Products, if you are a UK resident who is 18 or over. Proof of age may be required before those Products are remitted or Prizes paid out. Each time you register for one of these Products you will be sent a text message which refers you to these terms and conditions before you download the product or play the game. Mobile Entertainment Corporation Limited does not act in any way to send product to you, you are choosing to receive it. Mobile Entertainment Corporation Limited employees and their spouses and relatives shall not be eligible for any Prizes. You can only avail yourself of our Products if you have a mobile directly connected to a participating network and if your phone is capable of sending and receiving the relevant messages. 16. All prize winners will be sent a confirmation message with details of how to claim their prize. Prizes will not be awarded, and another winner selected, if the phone number is barred or reported stolen, or if the mobile phone number has been disconnected, or if any of these terms and conditions have been breached. 17. Prize winners will be paid only after revenues have been received by us from the mobile operators. Please allow between 30 and 60 days to receive your winnings. In some instances Prizes may be subject to deduction of taxation or other duties. These deductions shall be made prior to the prize being paid over to the winner. 18. Prize winners will have a period of 21 days within which to claim their prize and all prizes not claimed within this period will be forfeited. If a claimant has not already completed our registration form on our web site, then they must provide us with the following information at the time of claiming the prize: Name, House Name and/or Number, First Line of address (street), Postcode, Age, Gender, Mobile Phone Number and e-mail address. 19. If your mobile phone is located outside the UK at the time of transmission of a relevant message then the appropriate roaming charge will be incurred. Costs will be charged to your normal Telecommunications account (or shall be invoiced separately if you are disconnected from your Network) or deducted from your balance if you are a 'pay as you go' customer. 20. You recognise that the service may, from time to time, be adversely affected or be unavailable by events outside our control. You acknowledge that the content, performance, message and data transmission response and refresh times is subject to the enabling technology on which it is based and may be adversely affected by network performance and other operational factors beyond our control, including, without limitation, congestion, network coverage, dropped connections, the performance of wireless enabled devices and the maintenance of a secure network connection. We shall not liable to you for any failure to deliver messages to you due to circumstances outside our control, including if your mobile phone is not switched on, your answer is not in the correct format, your mobile phone is not within coverage or for any other reason cannot be reached, you have a bar on messages, you are a Pay As You Talk customer and you have run out of calling credit, your message mail box is full and has no additional memory to receive additional messages or for any other reason which is out of our control or out of the control of any third party who is delivering the message. 21. We will make all reasonable endeavours to ensure the uninterrupted and timely supply of the service and will take all reasonable steps at our expense to correct any error, omission or mistake, but will be under no liability for any error in, or delay in, or failure in transmission of the service. We will not be liable for any partial or complete failure in the transmission or receipt of calls or messages and we give no warranty or guarantee in relation to the Products or prize and you hereby release and hold us and our agents harmless from any and all liability, injuries, loss or damage of any kind arising from our (or our agents) participation or the acceptance or use of any product or prize. We do not provide any warranty as to the accuracy or completeness of the information provided or any Product or prize awarded. 22. We may withdraw or change the Products generally, at any time for legal, technical, commercial, public interest or operational reasons. In the event that the Products are being permanently withdrawn, this will be advertised via our website with as much notice as possible prior to the withdrawal of the Products. Depending on the reason for the suspension, withdrawal or change, it may not always be possible to give advance notice. 23. You agree that you will indemnify us against any liability arising if you are in breach of these terms or allow others to use your mobile phone in breach of these terms. We may suspend or withdraw the ability for you to avail yourself of the Products if you are in breach of these terms. 24. In no event shall we or any of the other parties involved in the provision of the Products be liable for any losses, damages, costs or expenses arising from or in any way connected with any errors, defects, interruptions, malfunctions or delays in the provision of the Products other than arising out of our negligence or for any death or personal injury. 25. We shall not be liable for any indirect or consequential loss or loss of profit, loss of opportunity, loss of data or damage to reputation or loss of earnings 26. If we reasonably believe that there has been a breach of these terms and conditions we reserve the right to immediately and without notice withdraw or bar the services. 27. We reserve the right to change these terms and conditions at any time. By continuing to use the service you will be deemed to have accepted the varied terms and conditions, which will be posted on our website www.mobile-ent.com. We reserve the right at any time to cancel, modify or supersede the Products if, in our sole discretion, the Products are not capable of being supplied as specified in these terms and conditions. 28. The accessing of the Products is subject to availability and may be affected by too many people trying to access the Products at one time or by network congestion. 29. The Products supplied are subject to copyright and may not be reproduced or used in any manner without the prior written consent of the copyright owner. You acknowledge and agree that all products supplied are proprietary and constitute valuable intellectual property owned by the Mobile Entertainment Corporation Limited or others who have licensed use of such materials to the Mobile Entertainment Corporation Limited. You acknowledge and agree that, as such, you may only access, view, download, receive and otherwise use the products supplied as authorized by Mobile Entertainment Corporation Limited. 30. Mobile Entertainment Corporation Limited may from time to time encourage you to be interactive and to send us pictures or information for our own use or for us to pass on to other users of our services and product. In the case of you supplying such pictures or information you do so on the understanding that you represent, warrant and covenant (a) that no materials of any kind submitted or Mobile Entertainment Corporation's use thereof in accordance with these terms and conditions, will (i) violate, plagiarize or infringe upon the rights of any third party, including copyright, trademark, moral rights, image rights (whether actual or claimed) contract or other intellectual proprietary rights; (ii) contain any offensive or obscene or otherwise unlawful material; (iii) constitute false or misleading indications of origin or statements of fact; (iv) slander, libel or defame any person or entity; (v) cause injury of any kind to any person or entity; (vi) violate any applicable laws, rules, regulations or other governmental regulations, including rights under the Data Protection Act; or (vii) were obtained without consent of an individual (where required); and (b) that you hereby indemnify, defend and hold Mobile Entertainment Corporation Limited, its service providers and telecommunications operators and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any user of our services and products or the foregoing representations, warranties and covenants, including, without limitation, all costs, losses, expenses and damages, economic and financial losses, loss of profits and court fees and legal fees. You shall cooperate as fully as reasonably required in the defense of any claim. Mobile Entertainment Corporation Limited reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. 31. In respect of any materials, pictures or information you send to us, you hereby assign to MEC any present and future rights, including present and future copyright and database rights, in such materials, pictures or information and you agree to take all such steps as may be required by MEC to vest such rights and title in MEC. 32. These terms and Conditions are governed by the laws of England and subject to the exclusive jurisdiction of the English courts. 34. These Terms and Conditions will not affect your statutory rights. |
